These Terms of Service ("Terms") are a binding agreement between you (and the organisation you represent) and Cehpoint ("Cehpoint", "we", "us") governing your access to and use of our websites, the AI platform, the services portal, the Cehpoint Card, our APIs, the product-testing marketplace and related services (the "Services"). By accessing or using the Services you agree to these Terms.
1. Acceptance of terms
If you do not agree to these Terms, do not use the Services. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation. Specific products may have additional terms (for example the Product Tester Agreement or Client Testing Services Agreement), which form part of your agreement with us.
2. Eligibility and accounts
- You must be at least 18 years old and capable of forming a binding contract under Indian law.
- You are responsible for the accuracy of your account information and for all activity under your account.
- Keep your credentials confidential. Notify us promptly of any unauthorised use at support@cehpoint.co.in.
- We may refuse, suspend or reclaim usernames and accounts at our reasonable discretion.
3. The Services
Cehpoint provides software, AI tools, hosting, security, developer APIs, training, the Cehpoint Card service-credit facility and a marketplace connecting clients with independent product testers. We may add, modify, or discontinue features at any time. Some Services are provided by or depend on third parties (see clause 10).
4. Acceptable use
Your use of the Services must comply with our Acceptable Use Policy, which is incorporated into these Terms. In summary, you must not use the Services unlawfully, to infringe others' rights, to send spam or malware, to reverse-engineer or overload the Services, or to generate prohibited content. Violations may result in suspension or termination.
5. Payments, pricing and taxes
- Fees are stated in Indian Rupees (INR) and are payable in advance unless otherwise agreed in writing.
- Payments are processed by third-party processors such as PayU. By paying, you agree to the processor's terms. We do not store your full card/bank details.
- Prices are exclusive of GST and other applicable taxes unless stated; taxes will be added as required by law.
- Wallet balances and service credits may be used towards eligible Services and are governed by the Refund & Cancellation Policy.
- You are responsible for all charges incurred under your account, including API usage and per-report testing fees.
6. Refunds and cancellation
Refunds and cancellations are governed by our Refund & Cancellation Policy. Certain items — such as consumed AI usage, delivered work, per-report testing fees for accepted reports, and the Cehpoint Card lifetime fee once activated — may be non-refundable as described there.
7. Intellectual property
The Services, including software, designs, text, graphics, logos and the "Cehpoint" brand, are owned by Cehpoint or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, resell, sublicense, or create derivative works except as expressly permitted or agreed in a separate written agreement.
8. Your content
You retain ownership of content you submit ("Your Content"). You grant us a worldwide, royalty-free licence to host, process, transmit and display Your Content solely to operate and provide the Services (including sending prompts to AI providers, and sharing testing reports with the commissioning client). You represent that you have the rights to submit Your Content and that it does not violate law or third-party rights.
9. AI features
AI outputs are generated by statistical models and may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing and verifying AI outputs before relying on them. Do not use AI features for prohibited purposes or to generate unlawful content. See our Disclaimer and Acceptable Use Policy.
10. Third-party services
The Services integrate with third parties (e.g. PayU, Google, AI model providers, hosting vendors). We are not responsible for third-party services, and your use of them may be subject to their own terms. Links to third-party sites are provided for convenience and do not imply endorsement.
11. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free or secure, or that testing will identify all defects in a product. See our full Disclaimer.
12. Limitation of liability
To the maximum extent permitted by law, Cehpoint and its officers, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Cehpoint for the specific Service giving rise to the claim in the three (3) months preceding the event, or INR 10,000, whichever is greater. Nothing limits liability that cannot be excluded under applicable law.
13. Indemnity
You agree to indemnify and hold harmless Cehpoint from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, or your breach of these Terms or applicable law.
14. Suspension and termination
We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or fail to pay. You may stop using the Services at any time. On termination, your right to use the Services ceases; clauses that by their nature should survive (payment, IP, disclaimers, liability, indemnity, governing law) will survive.
15. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any binding arbitration or statutory consumer rights, the courts at West Bengal, India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
16. Changes to these Terms
We may revise these Terms from time to time. The "Last updated" date reflects the current version. Material changes will be notified through the Services or by email. Your continued use after changes take effect constitutes acceptance.
