This Product Tester Agreement ("Agreement") governs your participation as an independent product tester on the Cehpoint testing marketplace. By registering as a tester (including via our careers process) and accepting testing engagements, you agree to these terms, our Terms of Service and Acceptable Use Policy.
1. Parties and role
This Agreement is between you ("Tester") and Cehpoint. As a Tester, you evaluate clients' products (software, apps, websites, hardware or services) and submit written test reports through the Cehpoint platform. Cehpoint operates the marketplace, matches you with client engagements, and administers payment.
2. Independent contractor status
- You are an independent contractor, not an employee, partner or agent of Cehpoint or of any client.
- This Agreement does not create employment, and you are not entitled to employee benefits.
- You are responsible for your own taxes, including income tax and any applicable GST, and for your own equipment and internet.
- You control how you perform testing, subject to the agreed scope and acceptance criteria for each engagement.
3. Engagements and scope
- Each testing job has a defined scope, deliverable (one or more reports), acceptance criteria and budget communicated through the platform.
- You choose whether to accept an engagement. Once accepted, you agree to complete it within the stated timeframe and scope.
- You must test only within the authorised scope and must not access systems or data beyond what the client has authorised.
4. Honest and diligent reporting
- You must report your genuine, good-faith findings. Do not fabricate, exaggerate, plagiarise or omit material issues.
- Reports must be clear, reproducible where relevant (steps, environment, evidence), and your own original work.
- You must disclose any limitation in your testing and must not claim coverage you did not perform.
- Falsified or plagiarised reports may be rejected, unpaid, and may result in removal from the marketplace.
5. Confidentiality and NDA
Client products are typically pre-release and highly confidential. You agree that:
- All information about a client, its product, builds, credentials, roadmap and any data you access is Confidential Information.
- You will not disclose, publish, demo, screenshot publicly, or use Confidential Information for any purpose other than performing the engagement.
- You will keep credentials secure and delete/destroy client materials and test data on request or on completion.
- These confidentiality obligations continue indefinitely, surviving the end of this Agreement.
- Breach of confidentiality is a serious violation that may result in immediate termination and legal liability.
6. Intellectual property
All findings, reports, bug write-ups and other deliverables you create for an engagement are "work made for hire" to the extent permitted, and you hereby assign to Cehpoint (and/or the client, as directed) all rights in those deliverables upon payment. You retain no licence to the client's product. You must not incorporate third-party IP into a report without the right to do so.
7. Payment terms
- You are paid per accepted report. A report is "accepted" when it meets the engagement's acceptance criteria and is approved through the platform.
- Payment to you is made after the client has paid Cehpoint for the accepted report(s). Cehpoint remits your agreed share per the engagement, less any platform fee disclosed to you.
- Reports that are rejected for failing acceptance criteria (e.g. fabricated, out-of-scope, or duplicate) are not payable.
- Payments are made in INR to the payout details you provide. You are responsible for the accuracy of those details and for your taxes.
- Per-report rates and any negotiated budget are agreed before you accept the engagement.
8. No conflict and non-solicitation
- You must disclose and avoid conflicts of interest (e.g. testing a direct competitor's product where you have a material interest, or a product you helped build).
- You must not solicit or engage a client introduced through Cehpoint outside the platform to avoid fees, during the engagement and for 12 months after.
- You must not use one client's Confidential Information to benefit another.
9. Conduct and compliance
You will comply with our Acceptable Use Policy, applicable law, and any client-specific rules communicated for an engagement. You will not introduce malware, exfiltrate data, or perform unauthorised or destructive testing.
10. Term and termination
This Agreement applies while you are registered as a Tester. Either party may end the relationship at any time; you must complete or hand off accepted engagements in good faith. Cehpoint may suspend or remove you for breach, poor-quality or dishonest reporting, or confidentiality violations. Confidentiality, IP assignment, non-solicitation and payment obligations for completed work survive termination.
11. Liability
You are responsible for performing testing lawfully and within scope. To the extent permitted by law, Cehpoint is not liable to you for indirect or consequential losses, and Cehpoint's aggregate liability to you is limited to the fees payable to you for the affected engagement. You will indemnify Cehpoint and the client for losses arising from your breach of confidentiality, out-of-scope actions, or unlawful conduct.
12. Governing law
This Agreement is governed by the laws of India, with exclusive jurisdiction of the courts at West Bengal, India.
